My Independent Agent (MIA) — Insurance Pro Agencies, Inc.

1. Introduction

Welcome to the My Independent Agent (“MIA”) platform, operated by Insurance Pro Agencies, Inc. (“IPA,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the MIA Agent Portal, recruiting website, referral tools, and all related services (collectively, the “Platform”).

By creating an account, accessing the Platform, or participating in the MIA program, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

To use the MIA Platform, you must:

  • Be at least 18 years of age
  • Hold a valid, active insurance producer or agency license in at least one U.S. state
  • Provide accurate, current, and complete information during enrollment
  • Agree to the MIA Participation Agreement

3. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately of any unauthorized access to your account
  • You may not share your account credentials with any third party
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. MIA Program Overview

MIA is a referral-based insurance program that allows independent insurance agents to generate referral links for personal lines insurance quotes, submit commercial insurance referrals, earn commissions on policies written through their referrals, and access marketing tools and resources.

MIA does not provide insurance advice, bind coverage, or act as an insurance company. All insurance products are provided by third-party carriers through our national partner network.

5. Referral Links & Share Links

  • Each agent receives a unique referral link (“Share Link”)
  • Share Links are for your personal use only and may not be transferred, sold, or assigned
  • You may share your link via personal networks, social media, email, or other lawful means
  • You may NOT use your Share Link to submit quotes for yourself or fabricated individuals
  • Any manipulation or abuse of the referral system may result in immediate termination and forfeiture of unpaid commissions

6. Commissions

6.1 Commission Structure

  • Commission rates, splits, and payment terms are defined in your MIA Participation Agreement
  • Commissions are earned only on policies that are bound, issued, and paid by the carrier
  • Commission amounts vary by carrier, policy type, and premium

6.2 Payment Processing

  • Commissions are processed after MIA receives payment from the national partner
  • Payment is made via Stripe direct deposit to the bank account you configure during onboarding
  • Commission processing typically takes 50–75 business days from policy binding
  • MIA reserves the right to withhold commissions pending investigation of suspected fraud or policy cancellation

6.3 Chargebacks & Cancellations

  • If a policy is cancelled within the carrier's chargeback period, the associated commission may be reversed
  • You will be notified of any commission adjustments through the Portal

7. Agent Conduct

As a MIA agent, you agree to:

  • Comply with all applicable federal, state, and local laws and regulations
  • Maintain an active insurance license in any state where you solicit referrals
  • Not make false, misleading, or deceptive statements about MIA, IPA, or any insurance products
  • Not engage in spam, unsolicited bulk messaging, or any form of harassment
  • Not impersonate MIA, IPA, or any carrier
  • Follow MIA marketing guidelines as provided in the Portal

8. Intellectual Property

  • All MIA branding, logos, content, and technology are the property of Insurance Pro Agencies, Inc.
  • You are granted a limited, non-exclusive license to use MIA marketing materials as provided through the Portal
  • You may not modify, reproduce, or distribute MIA materials without prior written consent

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10. Termination

  • You may terminate your MIA account at any time by contacting support
  • We may suspend or terminate your access for violation of these Terms, inactivity, or at our sole discretion
  • Upon termination, your Share Link will be deactivated and pending commissions may be forfeited if cause for termination involved fraud or misconduct

11. Limitation of Liability

To the maximum extent permitted by law, IPA and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform. Our total liability shall not exceed the amount of commissions paid to you in the 12 months preceding the claim.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Illinois. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the Portal or email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
